....The decision that I would not continue in my position as director of M&M Baltica was taken end October 2006. The formal change was made beginning December 2006 and Prof. Dr. W. Paprocki took over as director of M&M Baltica. Prof. W. Paprocki was at that time and still is today a member of the Executive Board of M&M Militzer & Mućnch International Holding AG, the parent company of all M&M companies and which itself belongs to the Transinvest group, with headquarters in St. Gallen, Switzerland. All M&M Baltica UAB company files and documents have been passed over to W. Paprocki.

The bankruptcy of M&M Baltica was initiated at the turn of the year by W. Paprocki, director general of M&M Baltica at the time, in coordination with Anton Varmaskin, the person, who then was responsible for all road transport business of M&M Baltica and who is today director of AD Services, a company, which to my knowledge, is majority owned by the Transinvest group and operates under the management supervision of W. Paprocki and M&M International Holding.

I have never held any position in any M&M company outside the Baltic States, nor do I have any shares or other financial interest in any M&M company outside the Baltic States. I also hold no shares nor financial interests, nor have I ever been director or held any other position in M&M Fortransas. Director of M&M Fortransas was W. Paprocki until the company was declared to be liquidated as far as I know sometime in spring of this year. Liquidator of M&M Fortransas today is W. Paprocki.

Whether 1.16 million Euro were transferred to M&M Fortransas “before the bankruptcy” I do not know, but even though find it hard to believe. This was clearly not done during the months of my directorship preceding the bankruptcy. I have no knowledge of the financial transfers made after the directorship transferred from me to W. Paprocki.

Since beginning of December 2006 I have had nothing to do with any M&M company or business.

I understand your situation and your frustration about it. However, since I have had nothing to do with any M&M company for a year now, I cannot influence M&M nor Mr. Paprocki with regards to the payments demanded by you. I will however forward your demand to Mr. Paprocki today.

Of course, I cannot keep you from putting false information on the internet. However, that your facts are incorrect is widely known in Lithuania and especially to the creditors of M&M Baltica in Lithuania. Rather than putting time and money into such action as threatened by you, better would be to communicate with Prof. Paprocki to find a solution to your claim as he is – as stated above – still today a member of the Executive Board of M&M with responsibility for Central and Eastern Europe and thus directly supervising M&M’s business in Lithuania.

You write in your E-Mail that my company has not paid your company. With “my company” you probably mean M&M Militzer and Mućnch Baltica. As mentioned to you before, Militzer and Mućnch Baltica UAB is a company belonging to the M&M group of companies and not to me personally. Since I am not director nor do I hold any other position with this company for more than a year now, I have no possibility to cause M&M Baltica UAB to make a the payment to you. The management of M&M has been informed by me of your request, but regrettably I have no means to make any influence on M&M’s management beyond. I do not know the reasons why M&M Holding does not meet the obligations of its subsidiary company M&M Militzer and Mućnch Baltica UAB to you.
